Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Spec AI platform ("Service"). By using the Service you agree to be bound by these Terms, together with our Privacy Policy and Refund Policy.

1. About Spec AI

Spec AI (usepec.com) is an AI-assisted procurement planning tool. Spec AI is operated by Mahin Khattak, an individual trading as Spec AI, and is not a registered legal entity.

The Service currently includes, and may change at any time:

• RFQ Engine and Spec Translator — AI drafting of requests for quotation and technical specification sheets, with manual editing and export to Word, Excel, PDF and Google Drive.
• Supplier Matrix and Quote Comparison — AI-assisted screening of suppliers and normalisation of quotes, tiered prices, Incoterms and currencies into a comparison matrix with a non-binding award recommendation.
• Landed Cost Calculator — estimates of duty, freight and landed cost, including optional lookups against public tariff data sources.
• Library, Import and History — storage of company profiles, products, supplier records, imported item pointers and (in Standard mode) past runs.
• Microsoft 365 integration — optional, read-only access to your Outlook mail, OneDrive and SharePoint via Microsoft Graph, using delegated permissions you grant and can revoke at any time.
• Spec Agent — a chat assistant that can call the above tools, read data you have connected, and prepare actions. Actions that write data or generate documents are only executed after you explicitly confirm them.
• Web presence checks — automated fetching of a supplier's own public website to return a Match, Caution or Failed indicator. This is a heuristic signal, not a verification, accreditation, credit check or due-diligence report.

2. Eligibility

By using Spec AI you confirm that:

• You are at least 18 years of age.
• You are using Spec AI for lawful business purposes, not personal or consumer use.
• You have the authority to bind any company or organisation on whose behalf you use the platform.

3. AI-generated content — important

All outputs generated by Spec AI are produced by artificial intelligence and are provided for planning and reference purposes only.

AI-generated outputs may contain computational errors, including but not limited to mistakes in volume, weight, quantity, unit conversion, pricing, and cost estimates. You must independently verify all calculations and assumptions before relying on them.

Spec AI outputs do not constitute:

• Legal advice
• Customs or tax advice
• Financial advice
• Certified compliance documentation
• Guaranteed pricing or cost estimates

AI outputs may contain errors, omissions, outdated information, or inaccuracies. Import duty rates, HTS classifications, certification requirements, and regulatory standards change frequently and vary by jurisdiction. You must verify all Spec AI outputs with qualified professionals (customs brokers, procurement lawyers, compliance consultants) before making purchasing, sourcing, or compliance decisions.

4. Third-party services

Spec AI uses the following third-party services to deliver its functionality. By using Spec AI you acknowledge that your data may be processed by these providers in accordance with their own terms and privacy policies:

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service inquiries, payment processing, and refund handling.

5. Data residency modes, integrations and technical controls

Each workspace runs in one of two modes, selected by you in Settings → Data residency:

• Standard mode. Tool inputs and outputs, run history, Library records and Spec Agent chat transcripts (message text, tool calls and timestamps) are stored in Spec AI's managed database so you can reopen them later. AI runs on Spec AI's managed gateway.
• Tenant-resident mode. Spec Agent conversations are ephemeral and are not written to the database, document content read from your Microsoft tenant is processed in memory for the length of a single request, and run history stores metadata receipts (identifiers, timestamps, hashes and derived figures) rather than content. AI requests go to the endpoint you configure.

These modes are technical controls implemented on a commercially reasonable, best-efforts basis. They are described so you can evaluate them, and the behaviour of each request is recorded in your audit trail, which you should review. They are not a warranty, guarantee, certification or legal representation that any particular statutory or regulatory requirement is met.

Spec AI holds no certification (including without limitation ISO 27001, SOC 2, PCI DSS, HIPAA, NCA or PDPL accreditation) and makes no representation that use of the Service will make you compliant with any law, including the Saudi Personal Data Protection Law, the NCA Cloud Cybersecurity Controls, the UAE PDPL, the UK GDPR or the EU GDPR. You remain the controller of your data and are solely responsible for determining whether the Service is appropriate for your regulatory environment before you use it.

Software may contain defects. To the maximum extent permitted by applicable law, if a feature, setting or safeguard does not operate exactly as described — including a residency setting, a redaction, a deletion, a retention period, a quota, a spend limit, an integration or an export — your sole and exclusive remedy is that we will correct the defect within a reasonable time and, at our discretion, refund fees paid for the affected period. Such a defect is not a warranty, statutory or contractual guarantee and does not create liability beyond the cap in Section 6. You agree to notify us at mahinkhattak@gmail.com promptly on becoming aware of any such discrepancy.

Microsoft 365 access is read-only, granted by you and revocable by you at any time from Settings → Connections or from your Microsoft account. You are responsible for having the authority to connect any mailbox, drive or site, for the lawfulness of processing the content it contains, and for the configuration of your own Microsoft tenant. Spec AI is not responsible for outages, permission errors, throttling or data loss occurring within Microsoft's services or any other third-party platform.

Web presence checks, tariff lookups and similar features fetch data from public third-party sources. That data is provided as-is and may be incomplete, stale or wrong; a "Match" result is not an endorsement of a supplier and a "Failed" result is not an allegation against one.

6. Limitation of liability

To the maximum extent permitted by applicable law, Mahin Khattak (operating as Spec AI) shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from:

• (a) Reliance on any AI-generated output from Spec AI without independent verification
• (b) Errors or inaccuracies in duty rates, HTS codes, certification requirements, supplier assessments, or cost estimates
• (c) Business decisions made based on Spec AI-generated content
• (d) Interruption or unavailability of the service
• (e) Unauthorised access to or alteration of your data
• (f) Reliance on computational, mathematical, or unit-conversion outputs from Spec AI, including errors in volume, weight, quantity, pricing, or cost estimates
• (g) Any difference between the described behaviour of a feature, setting or safeguard — including data residency modes, redaction, retention, deletion, quotas, spend limits or audit logging — and its actual behaviour, including software defects, misconfiguration or regressions
• (h) Any act, omission, outage, security incident or data handling by a third-party provider, including Microsoft, your own AI endpoint provider, model providers, payment providers or hosting providers
• (i) Actions taken by the Spec Agent, including actions you confirmed, and any regulatory, contractual or reputational consequence of data being processed, stored or transmitted in a location or manner other than the one you expected
• (j) Loss of data, profits, revenue, goodwill, contracts or anticipated savings

In all cases, and regardless of the theory of liability, Spec AI's maximum aggregate liability to any user for all claims in the aggregate shall not exceed the total subscription fees paid by that user in the three months preceding the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence.

Any claim arising out of or related to the Service must be brought within twelve (12) months of the event giving rise to it, after which it is permanently barred.

7. No warranty

Spec AI is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that outputs are accurate, complete, current, or suitable for your specific use case, or that the service will be uninterrupted or error-free.

8. User responsibility

By using Spec AI, you agree that:

• (a) You will treat all outputs as estimates and starting points, not final decisions
• (b) You will verify critical information (especially duty rates, certifications, and compliance requirements) with qualified professionals before acting
• (c) You will not use Spec AI outputs as legally binding documents without independent review
• (d) You accept sole responsibility for any business decision made using Spec AI outputs

9. Prohibited use

You may not use Spec AI to:

• (a) Facilitate illegal trade, circumvent export controls, or source sanctioned goods
• (b) Violate any applicable local, national, or international law or regulation
• (c) Submit false or misleading information to generate outputs
• (d) Reverse-engineer, decompile, or attempt to extract the source code or underlying AI models used by Spec AI
• (e) Resell, sublicense, or commercially exploit Spec AI outputs without prior written consent
• (f) Interfere with or disrupt the integrity or performance of the platform

Violation of this section may result in immediate account termination without refund.

10. Intellectual property

You retain full ownership of all inputs you provide to Spec AI, including product descriptions, supplier data, and specifications. Spec AI claims no rights over your proprietary information.

Spec AI, its branding, software, design, and underlying systems are the intellectual property of Mahin Khattak. You may not reproduce, distribute, or create derivative works from any part of the platform without prior written permission.

11. Account termination and deletion

You may delete your account at any time from Settings → Delete account. Account deletion is permanent and erases your profile, run history, saved outputs, and all associated data immediately. If you have an active paid subscription, you should cancel it first from Settings → Manage billing to avoid further charges.

Spec AI also reserves the right to suspend or permanently terminate your account, with or without notice, if:

• (a) You violate any provision of these Terms.
• (b) Your use of the platform poses a legal, security, or reputational risk.
• (c) Payment of subscription fees is not received.

Upon termination your access to the platform will cease at the end of the current billing period. Spec AI is not obligated to retain your data beyond 30 days after account closure.

12. Payment terms

Spec AI subscriptions are processed by Paddle, who acts as the Merchant of Record for all transactions. By subscribing, you also agree to Paddle's Buyer Terms and Paddle's Privacy Policy. Spec AI does not store your payment card details.

Subscriptions auto-renew at the end of each billing period. You may cancel at any time from Settings → Manage billing; cancellation takes effect at the end of the period already paid for, with no partial refunds except as stated in our Refund Policy.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mahin Khattak (operating as Spec AI) from and against any and all claims, liabilities, damages, losses, costs, and expenses — including reasonable legal fees — arising out of or related to:

• (a) Your use of Spec AI outputs, including reliance on AI-generated data without independent verification
• (b) Your violation of these Terms of Service
• (c) Your infringement of any third-party intellectual property, privacy, or other rights
• (d) Any claim by a third party resulting from your business decisions made using Spec AI

14. Dispute resolution

Before initiating any formal dispute, you agree to contact Spec AI at mahinkhattak@gmail.com and attempt to resolve the matter informally within 30 days.

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms — or the breach, termination, or validity thereof — shall be resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its current rules. The seat of arbitration shall be Hong Kong SAR. The language of arbitration shall be English. Arbitration shall be conducted by a single arbitrator.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Spec AI.

15. Governing law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. To the extent any matter is not subject to arbitration under Section 14, the parties submit to the exclusive jurisdiction of the courts of Hong Kong SAR.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

17. Entire agreement

These Terms of Service, together with the Spec AI Privacy Policy and Refund Policy, constitute the entire agreement between you and Mahin Khattak (operating as Spec AI) with respect to your use of the platform. They supersede all prior or contemporaneous discussions, representations, warranties, or agreements — whether oral or written — relating to the subject matter herein.

18. Changes to these terms

We may update these terms at any time. For material changes — those that meaningfully affect your rights or obligations — we will notify you by email at least 14 days before the change takes effect. For minor or administrative updates, we will update the "Last updated" date at the top of this document. Continued use of Spec AI after changes take effect constitutes your acceptance of the updated terms.
